Tracy is an associate in the firm’s Corporate & Commercial Department. She is passionate about Corporate Governance, Commercial law, Mergers and Acquisitions, and Private Equities.

She also possesses a keen interest in several areas of law, including Intellectual Property Law, Compliance and Regulation, Securitization, Corporate Structuring, and Alternative Dispute Resolution. Additionally, she is passionate about the evolving landscape of Climate Change laws and policies, green financing, Energy Law, and Natural Resources Law, with a particular focus on sustainable practices and legal frameworks that support environmental and energy transitions.

Tracy is a strategic thinker who evaluates critically analyses legal issues to arrive at the most practicable solution. She is also adept at research and drafting of legal documents and instruments. These coupled with her communication and people skills make her client centered.

Transaction Highlights

• Delivered corporate secretarial support, including company incorporations, maintenance and updating of statutory registers and records, and ongoing management of corporate compliance obligations in accordance with applicable company law and regulatory requirements.
• Drafted, reviewed, and advised on a wide range of commercial contracts, including employment agreements, property sale agreements, and lease documentation, as well as providing legal guidance on compliance and regulatory matters.
• Provided legal advisory and institutional capacity-building support to County and Municipal Governments in the drafting of by-laws and investment policies, facilitation of stakeholder consultations, and delivery of a targeted capacity-building programme.
• Conducted a governance audit for the Kenya Medical Training College (KMTC), encompassing an in-depth assessment of governance structures, institutional policies, decision-making processes, and internal control systems, identifying gaps and recommending improvements to enhance accountability, oversight, and operational effectiveness.
• Undertook legal due diligence for the National Social Security Fund (NSSF) on two significant investment transactions, providing comprehensive legal and regulatory support including transaction structuring advice, and the identification and mitigation of legal and governance risks.
• Assisted with the registration of a fund manager with the Capital Markets Authority (CMA), including advising on licensing requirements, preparing and reviewing application documentation, responding to regulatory queries, and supporting the client through the approval process.
• Undertook a detailed legal and regulatory audit for a manufacturing company to identify all applicable licences, permits, and statutory approvals required for its operations, including identifying regulatory gaps and exposure, and provided recommendations to regularise compliance.
• Conducted legal and data protection audits for organisations across multiple sectors, involving a thorough review of organisational policies, internal systems, data governance frameworks, and operational practices.
