Victor is an Associate in the firm’s Corporate & Commercial Department. He has a keen interest in Commercial law, Corporate Governance, Mergers and Acquisitions, Capital Markets, and Private Equities.

He also focuses on Competition and Consumer Protection, Intellectual Property, and Employment law. Victor is also well-trained and experienced in Land laws and Conveyancing matters.

Victor is a driven problem solver who can identify client needs and see things through to a practical and workable solution. Additionally, he has extensive skills in researching legal matters; drafting legal documents focused on pleadings, conveyances, and commercial transactions; effective communication and people skills, planning and organizational abilities, complementing theoretical experience with practical legal assignments.

Transaction Highlights

  • Supported various clients through M&A transactions by drafting and reviewing of various transactional documents and agreements, conducting due diligence, and obtaining necessary regulatory approvals such as from the Competition Authority and the Communication Authority.
  • Offering legal advisory to Multinational Corporations and Start-ups on employment issues ranging from employer obligations, termination of employment, and employee incentive programs such as the Employee Share Ownership Schemes (ESOP) among others.
  • Contract drafting, review and legal advisory to various clients on issues of sale and purchase of property, registration of trademarks, registration of copyrights as well as compliance and regulatory issues.
  • Assisting in corporate secretarial services to clients which include the incorporation of companies, managing of client accounts on the Business Registration Service (BRS) platform, updating of company records and ensuring regulatory compliance such as filing of annual returns.
  • Preparation and perfection of security documents for various clients such as National Bank of Kenya and Equity Bank.
  • Supported a low-cost broadband internet provider through the due diligence process and satisfaction of condition precedents to facilitate growth capital investment through equity and debt facilities by BIO and DFC.
  • Reviewing and drafting various property documents on behalf of clients: Sale Agreements, Variation and Novation Agreements, Transfer of Land and Transfer of Lease, Long Term and Short Term leases in respect of residential and commercial properties, Charge and Discharge Documents.
